Keurig Dr Pepper completes the acquisition of JDE Peet's and accelerates its strategic realignment in the global coffee industry. The U.S. group announced it has acquired a 96,22% stake in the Dutch company, marking a key step in its industrial transformation and the creation of an integrated global player. The transaction combines complementary assets: the Keurig platform, a leading single-serve coffee brand in North America, and JDE Peet's global portfolio of brands and expertise, present in over 100 markets. The goal is to build a coffee supply chain capable of operating across all segments, from in-home systems to retail and out-of-home.
At the same time, the group outlined its future corporate structure. Upon completion of the integration process, Keurig Dr Pepper will split into two publicly traded entities in the United States: one focused on beverages ("Beverage Co.") and one dedicated entirely to coffee ("Global Coffee Co."). Rafael Oliveira, currently CEO of JDE Peet's, has been appointed to lead the new coffee company. He will also join the Keurig Dr Pepper leadership team during the transition. He will report to Group CEO Tim Cofer, who will lead the future beverage company.
Oliveira's appointment reflects managerial continuity and the international experience he has gained at JDE Peet's, Kraft Heinz, and Goldman Sachs. He will be responsible for integrating organizations, brands, and operating models, with a focus on growth, synergies, and executive discipline. According to the board, creating a global company entirely focused on coffee represents a crucial step in generating value and strengthening competitive positioning. The integration will combine industrial expertise, distribution capabilities, and complementary brand portfolios.
The industrial plan aims to create a global platform capable of covering all channels and price points, combining international scale with local adaptation. This strategy aims to capture the structural growth in global coffee consumption. The corporate separation process is expected to be completed by the end of 2026, subject to the achievement of specific financial objectives and favorable market conditions. Meanwhile, operational integration activities are already underway.
On the financial and regulatory front, a post-closing subscription period has been opened for shareholders who did not participate in the initial offering, expiring on April 13, 2026. Following the 95% capital threshold, JDE Peet's is also expected to be delisted from Euronext Amsterdam: its last trading day is April 29, with official delisting on April 30. This transaction marks one of the most significant recent developments in the beverage and coffee sector, with the creation of a player destined to compete globally in all major segments.
