Uber acquires Delivery Hero for $14,8 billion

Uber has reached an agreement to acquire Delivery Hero in a $14,8 billion deal. The deal aims to integrate mobility, delivery, and local commerce into a single platform, increasing usage frequency and the value generated by each customer.

According to data released by the group, users who utilize multiple ecosystem services generate spending volumes and profitability levels approximately three times higher than those who use a single platform. For restaurants, retailers, and merchants, the integration should translate into a larger customer base and more advanced advertising and promotion tools.

The voluntary public offering provides for a price of €41,50 per share. Uber will finance the transaction with available liquidity and a new debt facility of approximately €14 billion, declaring its intention to maintain its investment grade rating.

Prior to the announcement, Uber already controlled 24,77% of Delivery Hero's voting rights and had additional exposure through derivatives. Prosus's commitment, which holds approximately 17% of the capital, will bring the U.S. group's overall economic interest to around 53%.

Uber will maintain its Delivery Hero headquarters in Berlin and plans no changes to its workforce until at least 2029. The company will also invest €2 billion in Germany over the next five years, with resources earmarked for local business development, workforce development, and autonomous vehicle projects.

At the same time, SSW Partners will acquire Delivery Hero's operations in 14 markets, primarily those where the two platforms are already direct competitors. The transaction, valued at approximately $1,6 billion, is designed to reduce antitrust concerns and streamline the regulatory process.

Completion remains subject to approval from the relevant authorities and the achievement of the minimum membership threshold. For Uber, the move represents a leap in scale: more markets, a more extensive network, and greater monetization opportunities across the entire delivery supply chain.
