Kirin Holdings has announced the sale of its Four Roses bourbon brand to E&J Gallo Winery for up to $775 million, marking a significant step in the Japanese group's strategic review, which aims to reallocate capital and resources toward businesses seen as having greater growth potential in the medium to long term.

The operation involves the transfer of 100% of the shares of Four Roses Distillery, controlled through Kirin Beer & Spirits of America, with closing expected in the second quarter of 2026, subject to customary approvals under U.S. antitrust regulations.

The total price, approximately 120 billion yen, includes a variable component of up to $50 million tied to the brand's achievement of specific revenue targets following the closing of the transaction, according to an earn-out structure that reflects the brand's growth prospects in the North American market.

Kirin acquired Four Roses in 2002 and, over the years, the brand has experienced significant growth, driven mainly by demand in the United States, contributing positively to the group's value creation in the spirits sector.

Despite the results achieved, the Japanese company has decided to proceed with the sale as part of a broader portfolio review, launched to strengthen its focus on businesses where the group believes it can best leverage its industrial and organizational expertise, at a time when the Japanese spirits market is showing structural signs of a slowdown.

At the same time, Kirin is increasing its focus on the healthcare sector, combining its historical activities in beverages and beer with the development of the pharmaceutical sector through its subsidiary Kyowa Kirin, considered one of the pillars of its future strategy.

On the buyer's side, E&J Gallo Winery confirmed that the transaction will not result in any changes to the operating structure of Four Roses, which will continue to produce and distribute Kentucky bourbon, preserving its manufacturing organization and brand positioning.

Founded in 1888, Four Roses distillery is one of the historic names in American bourbon and the acquisition allows Gallo to further strengthen its presence in the premium spirits segment, expanding a portfolio already strongly positioned globally in wine and spirits.

Kirin finally specified that the impact of the transaction on consolidated results is being assessed and will be communicated once the accounting effects have been defined, in a market context where large groups are engaged in a progressive strategic reorganization to improve focus and returns on capital.
