Starbucks is reportedly evaluating a potential acquisition of Chipotle Mexican Grill, a deal that would bring Brian Niccol back under the helm of the American restaurant chain, which he led for six years before taking over the coffee giant in September 2024. According to the Financial Times, Starbucks has reportedly been working with financial advisors in recent months to explore a potential acquisition proposal, although no formal offer has yet been made, and neither company has commented on the rumors. The potential deal would be particularly significant for the restaurant industry, considering that Chipotle has a market capitalization of nearly $39 billion, while Starbucks is valued at around $107 billion, according to LSEG data.

The proposed acquisition comes amid a profound transformation for Starbucks, which is engaged in the revitalization plan initiated by Niccol himself. Since taking office, the group has allocated at least $500 million to investments in its workforce, along with initiatives to improve the in-store experience and reduce customer wait times. This strategy has led to increased costs and a resulting pressure on profitability. In the third fiscal quarter, adjusted operating margin stood at 14,4%, compared to 16,7% in the same period two years earlier. Despite this, Starbucks has achieved four consecutive quarters of like-for-like sales growth, a sign of a gradual recovery in business activity.

Chipotle is also experiencing a challenging period, characterized by lower restaurant traffic, largely due to consumers' greater caution in discretionary spending, and rising food and labor costs. A potential integration with Starbucks could, however, offer new development opportunities, especially in international markets, leveraging the coffeehouse group's existing commercial presence and partnerships. According to Jim Sanderson, analyst at Northcoast Research, Starbucks' franchising and licensing alliances in Europe could be an important tool for Chipotle's expansion beyond the US market.

At the close of its last fiscal year, Chipotle operated approximately 4.000 restaurants in the United States and around 100 locations internationally, while Starbucks operated a network of approximately 40.000 locations worldwide, 18.000 of which were in North America. The difference in their respective international scales would represent one of the most attractive strategic elements of a potential acquisition. For Niccol, it would also represent a return to the helm of the company he helped relaunch after food safety challenges, strengthening its commercial positioning and significantly developing its digital channel. However, it remains to be seen whether Starbucks' preliminary assessments will translate into a concrete proposal and what the financial terms of a transaction that, if it were to materialize, would alter the balance of the international organized foodservice industry.
