Epta has completed the acquisition of Hauser, surpassing the €2 billion mark in pro forma consolidated annual revenues, significantly strengthening its position as a European leader in commercial refrigeration and a leading independent global player. The closing of the transaction, officially announced on February 17th and effective March 1st, marks the entry of Hauser GmbH into the Epta Group, creating a combined company with approximately 10.000 employees and consolidating an even more widespread industrial and commercial presence in Europe.
The integration of the Austrian company, historically strong in the DACH region and the Central and Eastern European markets, allows the new Group to expand its geographic and production base, also thanks to Hauser's plants in Austria and the Czech Republic, generating significant industrial and commercial synergies. With 2024/25 revenues of approximately €410 million and 1.500 employees, Hauser brings consolidated expertise in turnkey projects, control systems, and integrated services for food retail and the food industry, strengthening Epta's offering throughout the entire point of sale lifecycle.
The Group will thus be able to further strengthen its ability to offer complete, customized solutions, from design and production to installation and after-sales services, with a view to increasingly integrating products, technology, and services. "This transaction represents a key milestone in Epta's long-term strategy," stated Marco Nocivelli, CEO of Epta (pictured). "Exceeding the €2 billion revenue threshold is a significant achievement that demonstrates the solidity of our industrial model and further strengthens our leadership in Europe."
Nocivelli emphasized how the combination of expertise, technologies, and scale allows the Group to significantly enhance its ability to drive sustainable and digital innovation, strengthening its leadership in natural refrigeration and highly energy-efficient solutions. Hauser sees joining the Group as an accelerator of growth and stability in a constantly evolving market environment, characterized by growing demands for energy efficiency, digitalization, and reduced environmental impact. Epta, headquartered in Milan, operates globally through historic brands such as Costan, Bonnet Névé, Eurocryor, Iarp, Kysor Warren, and now Hauser, positioning itself as a partner capable of manufacturing and marketing complete commercial refrigeration systems for retail, food & beverage, and Ho.re.ca.
The transaction was supported by Bain & Company for industrial and operational due diligence, by PwC for financial and tax aspects, and by Clifford Chance as legal advisor to Epta, while Hauser was assisted by PwC for financial, tax, and legal aspects.
With this acquisition, Epta takes a further step in its external growth path, strengthening its industrial scale, international presence, and ability to offer integrated, high-tech solutions in a strategic sector for the energy transition and the modernization of food retail.
