Keurig Dr Pepper Acquires JDE Peet's, Paving the Way for a Global Coffee Giant

The coffee sector is preparing for a new phase of consolidation with the announcement of a historic agreement between Keurig Dr Pepper (KDP) e JDE Peet'sThe two companies have entered into a definitive agreement for KDP to acquire JDE Peet's in an all-cash transaction with a total consideration of 15,7 billion euros.

The transaction will create a global player capable of combining KDP's North American platform, a leader in single-serve coffee, with JDE Peet's's global portfolio of established brands. The price set for JDE Peet's shareholders is € 31,85 per share, representing a 33% premium over the 90-day weighted average price. This is in addition to the dividend of €0,36 per share, which JDE had already declared before the deal closed, with no reduction in the value of the offer.

Following the completion of the acquisition, KDP plans a major reorganization, resulting in the creation of two independent companies listed in the United States. On the one hand, it will take shape Beverage Co., focused on refreshing beverages and intended to strengthen KDP's presence in the North American market. On the other hand, it will be born Global Coffee Co., a company dedicated exclusively to coffee with the ambition of assuming a global leadership role.

According to the two companies, the transaction will create a broad and diversified portfolio, capable of addressing market challenges with greater resilience. The acquisition is also expected to generate significant operational and financial benefits, including estimated cost synergies of approximately $400 million over three years and an increase in earnings per share starting from the first year of integration.
